The specific scope of each service is detailed in the commercial proposal and\/or contract signed between the parties, which shall prevail in case of conflict with the generic terms published on the website.<\/p>\n<h2 id=\"contratacion\" data-n=\"03\">Contracting process<\/h2>\n<ol>\n<li>Client request through the contact form, email or commercial meeting.<\/li>\n<li>Initial analysis and preparation of a personalized commercial proposal.<\/li>\n<li>Contract signed by both parties, including scope, schedule, deliverables and economic conditions.<\/li>\n<li>Invoice issued in accordance with the agreed payment terms and start of services.<\/li>\n<\/ol>\n<h2 id=\"precios-pagos\" data-n=\"04\">Prices and payment terms<\/h2>\n<ul>\n<li>Prices are expressed in <strong>euros<\/strong> and do not include VAT, which will be applied according to current regulations.<\/li>\n<li>Unless otherwise agreed, recurring services are invoiced monthly in advance.<\/li>\n<li>Non-payment of an invoice entitles Cronuts to suspend services after notifying the client 5 days in advance.<\/li>\n<li>Closed projects (AI products, audits, developments) are paid according to the agreed milestone schedule.<\/li>\n<\/ul>\n<h2 id=\"obligaciones\" data-n=\"05\">Client obligations<\/h2>\n<ul>\n<li>Provide the information, access and materials necessary for the proper performance of the service within the required timeframes.<\/li>\n<li>Designate a single point of contact who acts as the project lead.<\/li>\n<li>Comply with the regulations applicable to its activity, especially in terms of data protection, intellectual property and advertising.<\/li>\n<li>Pay the agreed fees within the agreed deadlines.<\/li>\n<\/ul>\n<h2 id=\"propiedad\" data-n=\"06\">Intellectual property of deliverables<\/h2>\n<p>Once the agreed fees have been fully paid, the final deliverables (content, creatives, code developed specifically for the client) shall be the property of the client, except for pre-existing elements, frameworks, methodologies, templates and know-how owned by Cronuts, which shall retain their ownership and over which the client obtains a non-exclusive and non-transferable license to use for its project.<\/p>\n<h2 id=\"confidencialidad\" data-n=\"07\">Confidentiality<\/h2>\n<p>Both parties undertake to maintain the confidentiality of all non-public information exchanged during the provision of the service (commercial, strategic, technical, financial or client data). This obligation shall remain in force for 3 years after the termination of the contractual relationship.<\/p>\n<h2 id=\"responsabilidad\" data-n=\"08\">Limitation of liability<\/h2>\n<p>Cronuts uses all reasonable means for the correct execution of the services, but does not guarantee specific results unless expressly agreed in writing (e.g. 90-day ROI guarantee). Cronuts&#8217; maximum liability towards the client for any matter is limited to the amount invoiced in the 3 months prior to the triggering event.<\/p>\n<p>Cronuts shall not be liable for indirect damages, loss of profit or loss of opportunity, except in cases of willful misconduct or gross negligence.<\/p>\n<h2 id=\"duracion\" data-n=\"09\">Duration and termination<\/h2>\n<p>Contracts shall have the minimum duration agreed in the commercial proposal (3, 6 or 12 months depending on the plan contracted). After this period, the contract shall be tacitly renewed for monthly periods unless either party provides written notice at least 30 days in advance.<\/p>\n<p>Serious breach of obligations by either party shall entitle the other to terminate the contract, after written notification and a reasonable period to remedy.<\/p>\n<h2 id=\"jurisdiccion\" data-n=\"10\">Applicable law and jurisdiction<\/h2>\n<p>These Terms and Conditions are governed by <strong>Spanish law<\/strong>.
