Terms and Conditions
General conditions governing the contracting of services with CRONUTS DIGITAL SL.
Subject
These Terms and Conditions govern the contracting of digital marketing consulting, SEO, paid media, content, web development and analytics services provided by CRONUTS DIGITAL SL (hereinafter, “Cronuts”) through the website www.cronuts.digital.

Services
Cronuts provides productized services under three main plans —Starter, Grow and Scale— as well as AI products with defined scope and deliverables. The specific scope of each service is detailed in the commercial proposal and/or contract signed between the parties, which shall prevail in case of conflict with the generic terms published on the website.
Contracting process
- Client request through the contact form, email or commercial meeting.
- Initial analysis and preparation of a personalized commercial proposal.
- Contract signed by both parties, including scope, schedule, deliverables and economic conditions.
- Invoice issued in accordance with the agreed payment terms and start of services.
Prices and payment terms
- Prices are expressed in euros and do not include VAT, which will be applied according to current regulations.
- Unless otherwise agreed, recurring services are invoiced monthly in advance.
- Non-payment of an invoice entitles Cronuts to suspend services after notifying the client 5 days in advance.
- Closed projects (AI products, audits, developments) are paid according to the agreed milestone schedule.
Client obligations
- Provide the information, access and materials necessary for the proper performance of the service within the required timeframes.
- Designate a single point of contact who acts as the project lead.
- Comply with the regulations applicable to its activity, especially in terms of data protection, intellectual property and advertising.
- Pay the agreed fees within the agreed deadlines.
Intellectual property of deliverables
Once the agreed fees have been fully paid, the final deliverables (content, creatives, code developed specifically for the client) shall be the property of the client, except for pre-existing elements, frameworks, methodologies, templates and know-how owned by Cronuts, which shall retain their ownership and over which the client obtains a non-exclusive and non-transferable license to use for its project.
Confidentiality
Both parties undertake to maintain the confidentiality of all non-public information exchanged during the provision of the service (commercial, strategic, technical, financial or client data). This obligation shall remain in force for 3 years after the termination of the contractual relationship.
Limitation of liability
Cronuts uses all reasonable means for the correct execution of the services, but does not guarantee specific results unless expressly agreed in writing (e.g. 90-day ROI guarantee). Cronuts’ maximum liability towards the client for any matter is limited to the amount invoiced in the 3 months prior to the triggering event.
Cronuts shall not be liable for indirect damages, loss of profit or loss of opportunity, except in cases of willful misconduct or gross negligence.
Duration and termination
Contracts shall have the minimum duration agreed in the commercial proposal (3, 6 or 12 months depending on the plan contracted). After this period, the contract shall be tacitly renewed for monthly periods unless either party provides written notice at least 30 days in advance.
Serious breach of obligations by either party shall entitle the other to terminate the contract, after written notification and a reasonable period to remedy.
Applicable law and jurisdiction
These Terms and Conditions are governed by Spanish law. For any dispute arising from their interpretation or fulfillment, the parties expressly submit to the jurisdiction of the Courts and Tribunals of Barcelona, waiving any other jurisdiction that may correspond to them.
